Terms of Service

1. Acceptance of Terms

By accessing or using the Baruchiel website at baruchiel.com, or any software product operated by Baruchiel (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Services.

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement.

2. Who We Are

Baruchiel is a software company based in Ghana that develops proprietary software products and provides custom software development and IT solutions to clients worldwide. For all legal notices and enquiries, contact us at [email protected].

3. Description of Services

Baruchiel provides two categories of services:

  • Software Products: Proprietary, cloud-based software applications (including Mythos, Aegis, and future products) offered on a subscription basis via baruchiel.com and their respective product sites.
  • Custom Services: Bespoke software development, IT infrastructure design, and technology consulting, delivered under a separate project-specific agreement or Statement of Work for each engagement.

4. Account Registration

Some of our products require you to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorised use of your account. Baruchiel is not liable for any loss resulting from your failure to protect your credentials.

5. Subscriptions and Billing

Subscriptions to our paid software products are processed by LemonSqueezy, our authorised Merchant of Record. LemonSqueezy handles payment processing, tax collection, and VAT compliance on our behalf in all jurisdictions.

  • Freemium tier: Available at no cost indefinitely, subject to feature limitations defined per product.
  • Paid tier — free trial: Paid plans begin with a 14-day free trial. You will not be charged until your trial period ends. You may cancel at any time during the trial at no cost.
  • Auto-renewal: Subscriptions renew automatically at the end of each billing cycle (monthly or annual, as selected) unless you cancel before the renewal date.
  • Price changes: We will provide at least 30 days' notice of any price increase via email or in-product notice before it takes effect.
  • Cancellation: You may cancel your subscription at any time. Upon cancellation, you retain access to the paid tier until the end of the current billing period. No further charges will be made after that date.

6. Acceptable Use

You agree not to use the Services to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any Baruchiel software;
  • Violate any applicable law, regulation, or third-party rights;
  • Share, transfer, or resell account access or credentials to any third party;
  • Attempt to circumvent, disable, or interfere with any feature restrictions, security mechanism, or access control of the Services;
  • Use the Services to develop or assist in developing a product or service that competes directly with Baruchiel's offerings;
  • Upload or transmit malicious code, viruses, or any content that is unlawful, harmful, threatening, or harassing.

Baruchiel reserves the right to suspend or terminate access for any violation of this section, with or without prior notice.

7. Intellectual Property

All software, source code, interfaces, designs, algorithms, documentation, branding, and content forming part of the Services are the exclusive property of Baruchiel or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any ownership interest or rights beyond the limited licence to use the Services as described herein.

8. User-Generated Content

You retain full ownership of all data, files, and content you submit, upload, or create through the Services ("User Content"). By using the Services, you grant Baruchiel a limited, non-exclusive, royalty-free licence to process your User Content solely to the extent necessary to provide and maintain the Services. Baruchiel does not claim ownership of your User Content and will not use it for any other purpose.

9. Custom Software and IT Services

Custom development and IT service engagements are governed by a project-specific agreement or Statement of Work entered into separately between you and Baruchiel. These Terms apply as a baseline to all such engagements unless expressly superseded by the project agreement.

10. Service Availability

Baruchiel will use commercially reasonable efforts to maintain availability of the Services. However, we do not guarantee uninterrupted, error-free access. Scheduled or emergency maintenance may result in temporary unavailability. No service-level agreement (SLA) is provided unless explicitly stated in a separate written agreement.

11. Termination

By you: You may stop using the Services at any time and cancel your subscription through your account settings.

By Baruchiel: We reserve the right to suspend or terminate your access to the Services immediately, with or without notice, if we determine you have materially violated these Terms, if required by law, or if we discontinue the Services. Where practicable, we will provide reasonable advance notice of discontinuation.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Baruchiel's total liability to you for any claim arising under or in connection with these Terms shall not exceed the total amounts you paid to Baruchiel in the twelve (12) months immediately preceding the claim.

Baruchiel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or reputational damage, even if advised of the possibility of such damages.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. Baruchiel expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will meet your requirements or be free of errors.

14. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms or the Services, the parties agree to attempt resolution in the following order:

  • Good-faith negotiation: Contact us at [email protected]. We will respond within 10 business days and attempt to resolve the matter informally.
  • Mediation: If negotiation fails, either party may refer the dispute to mediation by a mutually agreed mediator.
  • Binding arbitration: If mediation is unsuccessful, the dispute shall be finally resolved by binding arbitration in accordance with the rules of the Ghana Arbitration Centre. The arbitration shall be conducted in English in Accra, Ghana, unless the parties agree otherwise in writing. The arbitrator's decision shall be final and enforceable in any competent court.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent in-product notice at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
