End User License Agreement (EULA)

Effective date: 19 May 2026

This End User License Agreement ("EULA" or "Agreement") is entered into between Baruchiel ("Baruchiel", "we", "us") and you, the individual or entity accessing or using any Baruchiel proprietary software product ("you", "Licensee"). This Agreement governs your use of all Baruchiel software products, including but not limited to Mythos and Aegis (each, the "Software").

By installing, accessing, or using the Software, you accept the terms of this Agreement in full. If you do not accept these terms, you must not use the Software.

1. Grant of License

Subject to your compliance with this Agreement and, where applicable, the maintenance of an active subscription, Baruchiel grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Software solely for your own personal or internal business purposes as follows:

  • Freemium tier: A licence to use the features and functionality made available under the free tier of the applicable product. This licence does not extend to any features designated as paid or premium.
  • Paid tier: A licence to use all features available within your subscribed plan for the duration of your active subscription period. This licence commences upon payment of the applicable subscription fee (or, where a free trial is offered, upon trial activation) and remains in effect only while your subscription is current and in good standing.

No other rights are granted. Nothing in this Agreement transfers any ownership interest in the Software to you.

2. Restrictions

Except as expressly permitted by this Agreement or applicable law, you must not, and must not permit or assist any third party to:

  • Copy, reproduce, modify, adapt, translate, or create any derivative work based on the Software or any part of it;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive, reconstruct, or obtain the source code, underlying algorithms, or architecture of the Software;
  • Sublicense, sell, resell, rent, lease, lend, transfer, assign, or otherwise distribute the Software or any rights under this Agreement to any third party;
  • Remove, obscure, or alter any copyright notice, proprietary legend, trademark, or other ownership marking in or on the Software;
  • Use the Software, or any knowledge gained from access to it, to develop, produce, market, or support any product or service that is competitive with Baruchiel's offerings;
  • Share account credentials, or permit more users to access the Software under a single-user licence than are authorised by your subscription plan;
  • Use the Software in any manner that violates applicable law or infringes the rights of any third party.

3. Ownership and Proprietary Rights

The Software, including all source code, object code, interfaces, designs, algorithms, databases, documentation, and all intellectual property rights therein, is and shall remain the exclusive property of Baruchiel. This Agreement conveys no title or ownership interest to you. All rights not expressly granted are reserved by Baruchiel.

The Software is proprietary and strictly closed source. No access to source code is granted under this Agreement or any subscription plan.

4. Subscription Dependency

Your licence to access paid tier features is contingent on maintaining an active, paid subscription in good standing. If your subscription lapses, is cancelled, or is terminated for any reason:

  • Your paid tier licence is immediately revoked upon expiry of the current paid period.
  • Your freemium tier licence continues in effect provided you remain in compliance with this Agreement.
  • You remain responsible for exporting any User Content prior to downgrade or termination, as applicable.

5. Your Data

You retain full ownership of all data, files, and content that you input into the Software ("User Content"). By using the Software, you grant Baruchiel a limited, non-exclusive, royalty-free licence to process, store, and transmit your User Content solely as necessary to provide the Services to you. Baruchiel will not use your User Content for any other purpose, will not sell it, and will not share it with third parties except as described in our Privacy Policy.

6. Updates, Modifications, and Discontinuation

Baruchiel may, at its sole discretion, update, modify, add, or remove features of the Software at any time. We will provide reasonable advance notice of material changes. Baruchiel reserves the right to discontinue any Software product upon 90 days' written notice to active subscribers, with a pro-rata refund of prepaid annual subscription fees for the unused period.

7. No Warranty

The Software is provided "as is" and "as available". To the fullest extent permitted by applicable law, Baruchiel expressly disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Baruchiel does not warrant that the Software will be uninterrupted, error-free, or free of harmful components, or that defects will be corrected.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Baruchiel's total aggregate liability to you under or in connection with this Agreement shall not exceed the total subscription fees paid by you to Baruchiel in the twelve (12) months immediately preceding the event giving rise to the claim.

Baruchiel shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, even if Baruchiel has been advised of the possibility of such damages.

9. Termination

This Agreement and the licences granted herein terminate immediately upon:

  • Lapse or termination of your subscription (in respect of the paid tier licence);
  • Your material breach of any term of this Agreement, if the breach (where capable of remedy) is not remedied within 14 days of written notice from Baruchiel;
  • Written notice from either party terminating the Agreement for convenience, subject to any applicable subscription period.

Upon termination, you must immediately cease all use of the Software. Sections 3 (Ownership), 7 (No Warranty), 8 (Limitation of Liability), and 10 (Governing Law) survive termination.

10. Governing Law and Dispute Resolution

This Agreement is governed by and shall be construed in accordance with the laws of the Republic of Ghana. Any dispute arising out of or in connection with this Agreement shall be resolved in accordance with the dispute resolution procedure set out in Baruchiel's Terms of Service: good-faith negotiation, then mediation, then binding arbitration under the rules of the Ghana Arbitration Centre.

11. General

  • Entire agreement: This Agreement, together with Baruchiel's Terms of Service and Privacy Policy, constitutes the entire agreement between the parties with respect to the Software and supersedes all prior agreements, representations, and understandings.
  • Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • No waiver: Failure by Baruchiel to enforce any right under this Agreement shall not constitute a waiver of that right.
  • Updates: Baruchiel may update this Agreement from time to time. Material changes will be communicated via email or in-product notice at least 30 days before taking effect. Continued use of the Software after the effective date constitutes acceptance.
